CONSTITUTION OF THE SEVEN MOUNTAINS BLUEGRASS ASSOCIATION
Be it resolved that the name of this non-profit organization shall be SEVEN MOUNTAINS BLUEGRASS ASSOCIATION (SMBA) located in central Pennsylvania. The purpose of this Association shall be to preserve, promote, and enjoy bluegrass music and to bring said music to an ever increasing number of people.
FOUNDERS OF THE ASSOCIATION
The founders of the Seven Mountains Bluegrass Association were Wynne Fishel and Ina Jane Atkinson.
ARTICLE I
OFFICERS
Section 1
The officers of SMBA shall be president, vice president, secretary, treasurer, and the board of directors.
Section 2
It shall be the duty of the president to preside at meetings and functions of the SMBA and to enforce a due observance of the constitution and by-laws. The president shall be chairperson of the board of directors and a member ex-officio of all committees. The president shall, with the exception of committee chairperson, make all appointments to the board of directors.
It shall be the duty of the vice president to perform all presidential duties in the absence of the president and, at all times, assist the president when and as requested.
It shall be the duty of the secretary to keep accurate and complete records of all meetings and proceedings of the SMBA, to keep records of the treasurer's reports, committee reports, and all else deemed to be of importance or interest to the SMBA (except that which related to the work assigned to committees or other officers).
It shall be the duty of the treasurer to do all banking, to make all investments of the Association in the name of and to the account of the SMBA, to keep an accurate and complete record of the finances of the SMBA, to accept and deposit in a banking institution all funds received, to pay all bills approved by the president and board of directors, to submit financial reports, records, and supporting documentation to the board of directors at least once each year for auditing purposes.
It shall be the duty of the board of directors to attend to the affairs of the SMBA between meetings (regular) of the Association, but the acts of the Board shall not conflict with the actions taken by the SMBA. Board members failing to discharge their duties may be replaced by majority vote of the president and Board members present at the executive meeting.

ARTICLE II
MEETINGS
Section 1
The regular meetings of the SMBA shall be held on the third (3rd) Sunday of each month at a site selected by the officers. The business meeting shall begin at 2 p.m. Special meetings or a change of meeting date or place may be called by order of the president and/or the Board. All SMBA members shall be notified via telephone, mail, radio, newsletter, newspaper or the Internet.
Section 2
As determined by the president or the majority of Board members, the Board of Directors may meet monthly. All board members shall be notified in advance of these meetings.
ARTICLE III
AMENDMENTS
Section 1
Every proposed amendment to the constitution or bylaws of the SMBA shall be submitted in writing to the Board of Directors. Only if approved by a majority of votes of the Board, shall the amendment be presented to the membership at a regular meeting and then approved or disapproved by a majority of the members present at the next scheduled regular meeting.
ARTICLE IV
COMMITTEES
Section 1
Committees shall be created and dissolved as needed by the Board. The chairperson position and membership shall be voluntary. Committee chairpersons shall be voting members of the Board of Directors. Any chairperson failing to perform the duties of that position may be replaced by a majority vote of the Board members present. Committee members failing to discharge their duties may be replaced at the discretion of the chairperson.
ARTICLE V
ELECTION OF OFFICERS
Section 1
Annual election of officers shall be held at the October general meeting. Nominations shall be entertained from the floor or in writing, and voting shall be by paper ballot. Elected officers shall assume their duties in January of the following year.
BYLAWS
Anyone is welcome to attend our regular meetings. However, only members of SMBA will be able to vote and actively participate in the business meetings.
The Board reserves the right to revoke the membership of any member for actions inconsistent with the goals and objectives of the Association. Revocation is contingent upon a majority vote of the Board of Directors.
No alcoholic beverages shall be permitted at the meetings, concerts and functions of the SMBA.
